Media

The Noisecutter Newsletter and The Noisecutter Podcast (the “Media”), inclusive of any text, image, audio, video and any other content on its website, social media account pages, social media posts, streaming account pages, streams, episodes, e-mail newsletters, e-mails, or any other of its produced information in any form or format and wherever or however distributed (together with the Media, collectively, the “Content”), is a production of Titan Grey, LLC (“Titan Grey”), a company domiciled in the State of New York.

Host

The Media was created by, and is written and produced by, Rex Chatterjee, the Managing Principal of Titan Grey. Rex Chatterjee is also an attorney-at-law admitted to practice in the State of New York, and serves as the Managing Principal of Chatterjee Legal, P.C. (“Chatterjee Legal”), a law firm based in the State of New York.

Disclaiming Parties

For the purposes of this Disclaimer, the term “Disclaiming Parties” shall mean, collectively, Rex Chatterjee, Titan Grey (including its members, managers, principals, officers, executives, employees, agents, consultants and contractors), and Chatterjee Legal (including its shareholders, directors, principals, officers, executives, employees, agents, consultants and contractors).

Guests

Guests collaborating on or appearing in the Media and in the Content (“Guests”) are selected by Titan Grey in its sole discretion. Guests may be selected or not selected for any reason or for no reason. No offer to collaborate on or appear in the Media made to any Guest shall be deemed to be binding on Titan Grey. Furthermore, Titan Grey shall not be obligated in any way to create, process, publish or distribute any Content (including, for the avoidance of doubt, any issue or issues of the Newsletter and/or any episode or episodes of the Podcast) with or involving any Guest.

Guests may include Titan Grey’s and/or Chatterjee Legal’s current, former or future clients, or persons affiliated therewith in cases where such applicable current, former, or future client is a legal entity. However, the status of any individual or organization as a current, former or future client of Titan Grey and/or Chatterjee Legal has no bearing on Titan Grey’s selection process for Guests. Furthermore, the status of any individual as a Guest collaborating on or appearing in the Media shall in no way be deemed to indicate that such individual, or any organization with which such individual may be affiliated, is or is not a current, former or future client of Titan Grey and/or Chatterjee Legal.

Any invitation or selection of any Guest to collaborate on or appear in the Media shall not, in any way, be considered a solicitation or inducement to such Guest, or to any organization with which such Guest may be affiliated, to become or remain a client of Titan Grey and/or Chatterjee Legal.

Content

Revisions, Edits & Removal

Titan Grey may, at its sole discretion, revise, edit, replace or remove any of the Content at any time for any reason or for no reason. Notwithstanding the foregoing, neither Titan Grey nor any of the other Disclaiming Parties shall be under any obligation to any third party (including, for the avoidance of doubt, any Guest) to revise, edit, replace or remove any of the Content.

No Advice

The Content is provided for general interest purposes only and should not be construed by any party, at any time, as constituting advice, guidance, recruitment, solicitation, or any other professional service in any way. Furthermore, the Content is provided with the understanding that neither the Disclaiming Parties, nor any applicable Guest or Guests, with respect to any of their activities related to the production of any of the Content, are therein engaged in rendering any legal, accounting, tax, or other advice or services. The Content should not, in any way and in any case, be used in any manner as a substitute for consultation with a qualified legal, accounting, tax or other professional.

No Legal Advice

The Content does not constitute legal advice, nor is it intended by any of the Disclaiming Parties to constitute legal advice.

No Attorney-Client Relationship

Access to the Content by any party does not, on its own, create an attorney-client relationship between such party and any of the Disclaiming Parties.

No Reliance

At any given time (including, for the avoidance of doubt, time of publication or distribution), the Content may not contain the most up-to-date or factually correct information, and should not be relied upon for making any decision, acting or refraining from acting with respect to any matter. None of the Disclaiming Parties shall bear any liability with respect to any decision, action or inaction of any third party that is made/taken or not made/taken pursuant to any of the Content, and any and all such liability is hereby expressly disclaimed by the Disclaiming Parties.

No Representations or Warranties

The Content is provided by Titan Grey and is provided on an “as is” basis. The Disclaiming Parties make no warranty of any kind with respect to the Content, whether express or implied, and including, without limitation, warranties of performance, merchantability or fitness for a particular purpose. The Disclaiming Parties make no representations with respect to the completeness, accuracy, freedom from error, timeliness, legal soundness or any other characteristic of any or all of the Content.

No Liability

None of the Disclaiming Parties shall be liable to any other party for any reason or under any cause of action related in any way to or arising from the Content or from such party’s access or lack of access thereto, including for any injury or damage sustained by such party and, for the avoidance of doubt, including any and all consequential, punitive, special, indirect or similar damages, and including such cases in which such damages were foreseeable, without regard to whether the applicable Disclaiming Party or Parties was/were or was/were not advised of the same.

Third-Party Links

The Content may, from time to time, contain links to other websites, platforms, files, media or other resources maintained by third parties over whom the Disclaiming Parties have no control. The Disclaiming Parties make no representations as to the completeness, accuracy, timeliness, safety or any other characteristic of any such link or any destination thereof. None of the Disclaiming Parties shall bear any risk or be liable for any damages (including, for the avoidance of doubt and without limitation, consequential, punitive, special, indirect or similar damages) related thereto or arising from any such link or any destination thereof.

Third-Party Content

The Content may contain opinions or other information from parties (including Guests and their sources of information) unaffiliated with the Disclaiming Parties, and the Disclaiming Parties make no endorsements or claims of any kind with respect to any such opinions or other information.

Attorney Advertising

The Media and/or the Content may be deemed to be attorney advertising on behalf of Rex Chatterjee and/or Chatterjee Legal. Prior results do not guarantee a similar outcome. Selection of an attorney should not be based solely on attorney advertising or fees.
